Vectronis®
Terms and Conditions
Draft for legal review.
Version 0.1 · 14 October 2026 · English working translation of the German source version (Switzerland), also subject to legal review.
Before sales begin, this draft must undergo legal review and be completed with the outstanding company, distribution and pricing details. Merely visiting this website creates neither a contract nor acceptance of this draft.
1. Provider, scope and acceptance
The provider and contracting party is Beat W. Meier GmbH, Switzerland, operating under the Vectronis brand. Business address, registered office, contact and registration details: [to be completed with verified company information before approval].
These terms apply to expressly agreed software licences and associated services. The version supplied when the contract is concluded, the selected product description and the order confirmation govern the agreement. Individual agreements take precedence. Special product terms are incorporated only if they were accessible before conclusion and expressly accepted.
Product announcements are not binding offers for sale. A contract becomes possible only through an ordering process enabled at a later date. You must expressly accept these terms before placing an order that entails payment. The contract is concluded upon our electronic acceptance confirmation; a mere acknowledgement of receipt does not constitute acceptance. For a free demo, the relevant terms are expressly agreed before its first use. Merely visiting the website is insufficient.
2. Service, price and term
The product, features, supported systems, number of devices, total price including applicable taxes, billing period and contract duration are specified before ordering. No availability or outcome guarantees beyond these are given. Statutory and expressly agreed rights remain unaffected.
Payments are processed by the payment service identified during ordering; Stripe is envisaged. Recurring payments and automatic renewal apply only if clearly disclosed and agreed before conclusion, including the cancellation procedure and deadline. Otherwise, a fixed-term entitlement expires without automatic renewal. Releasing a device does not cancel a subscription. Price changes or material service changes do not apply retrospectively to service periods already agreed.
3. Right of use and open source
For proprietary products, you receive a non-exclusive right of use within the agreed product, device and time limits. You must protect access credentials and licence keys against unauthorised disclosure. Renting, sublicensing or making the product available to additional users is permitted only within the agreed scope. Mandatory statutory rights of use, backup and resale are reserved.
For open-source products and included open-source components, their stated licences govern those elements. The proprietary restrictions in these terms do not limit rights granted by those licences. Your recordings, research data and other content you supply remain your content; we acquire no rights to use them for AI training.
4. Protection against cloning and AI-assisted reconstruction
Without our prior written consent, access granted under the contract may not be deliberately used to systematically reconstruct proprietary elements or develop a clone with substantially similar protected expression. This includes, in particular, manually or automatically capturing and analysing user interfaces, screenshots, screen recordings, interaction sequences, inputs/outputs, protected text, graphics or program elements for that purpose. This prohibition also applies when using or commissioning AI models, agents and third parties, and when creating corresponding training, reference or test datasets. It covers the unauthorised incorporation of protected design features or program elements into a competing implementation.
This is not a general non-compete restriction and creates no exclusive rights over mere ideas, functions, methods or commonly used interaction concepts. Independent development and legally permitted observation, study and testing to identify underlying ideas and principles remain allowed. Permitted interoperability measures, backup copies, uses allowed by law and the rights under section 3 are also reserved. Normal use of your own content, permissible reviews, bug reports, accessibility tools and lawful security testing are not prohibited.
These exceptions do not grant access to other people’s accounts or systems or permit disruption of operations. Security testing on our servers requires separate authorisation unless a statutory right applies. Protective measures must not be circumvented for unauthorised use; exceptions permitted by law expressly remain unaffected.
5. Demo, activation and data
An agreed demo lasts ten days from the first successful use of a substantive product function. The product quotas and output limits disclosed before it starts also apply. Registration or activation does not restart the demo. Saved data and edits are retained; the designated viewing and data-recovery functions remain accessible after expiry.
For an activated licence, an operating authorisation is requested once per calendar month. If it remains missing for seven consecutive days after it becomes due, the product returns to any remaining portion of the original demo; otherwise, it enters viewing/data-recovery mode. A confirmation does not extend an expired entitlement. A renewed valid confirmation restores the agreed functionality. Licence problems do not entitle us to delete your local data. Statutory rights arising from service disruption for which we are responsible remain unaffected.
6. Referrals
Where the referral programme is enabled for the offer concerned, the already registered holder of a valid referral code entered by another person when taking out a new subscription receives six calendar months of free use from the date of that new subscription, once the first payment is confirmed. A normal renewal or registration alone is insufficient; self-referrals are excluded. The same transaction is counted only once. Paid entitlements are not reduced. The applicable product and treatment of overlapping periods are clearly specified before participation; the programme is not offered until these matters have been defined.
7. Support, defects and liability
Problems may be reported through the designated support channel. We assess defects described in sufficient detail and provide for appropriate remediation. Statutory rights arising from non-performance or defective performance remain unaffected; this draft does not shorten statutory time limits or exclude defect remedies generally.
You must use software and content lawfully and check results according to their intended purpose. Keeping your own backups is advisable; this does not remove our responsibility for damage we cause. Our liability is governed by applicable law. In particular, liability for intent, gross negligence, personal injury and other mandatory liability is not excluded.
8. Breaches and termination
In the event of a material contractual breach, after giving a reasoned notice and a reasonable opportunity to remedy it, we may proportionately restrict the affected service or terminate the contract for good cause. A specific serious risk or unlawful use may require immediate temporary suspension; we explain the suspension to the extent permitted by law. Valid claims may be pursued. No automatic contractual penalty is agreed.
Upon expiry or termination, further use requiring a licence ends to the agreed extent. Your own data already stored remains accessible through the designated recovery methods. Statutory rights to refunds, remedies for defects and damages remain unaffected. Amendments to these terms are not accepted merely by further website visits and do not automatically change existing contracts.
9. Data protection
The separate privacy notice explains the actual processing of account, payment, licence and support data. These terms do not provide blanket consent for advertising, tracking or training AI systems with your content. For support diagnostics, the data to be sent is made identifiable before transmission.
10. Governing law and jurisdiction
Swiss law applies to the extent that a choice of law is permitted. Mandatory legal provisions, particularly applicable consumer protection and cases where a choice of law is excluded, are reserved.
To the extent permitted by law, the courts in Zug, Switzerland, having subject-matter jurisdiction have exclusive jurisdiction. Consumers retain their legally protected places of jurisdiction; this clause does not require them to bring proceedings exclusively in Zug and does not extend our ability to bring proceedings against them.
